Q-wings terms & conditions

Q-railing loyalty program terms and conditions
1. These Terms and Conditions (including Our Policy on Privacy and Data Protection) govern the collection and use of Q-wings and set out the terms of the contract between Q-railing Europe Holding GmbH (UK Branch) ("Us/We") and each participant in the Program. You can register with the Q-railing Rewards Program ("the Program") by applying for a Q-railing Loyalty Member Card ("the Member Card") and can then earn points (“Q-wings”) on purchases of goods ("the Goods") for You to redeem against various products ("the Rewards") from Our Program Rewards Catalogue ("the Catalogue"). If You apply to register with the Program or use a Member Card You accept these rules.
2. The Member Card remains Our property and We are not responsible for any lost or stolen Member Cards. If a Member Card is lost or You think an unauthorised person has used Your Member Card, You must contact Us immediately. We will not be responsible for any unauthorized use of Your account.
3. The Member Card remains Our property and must be returned to Us on request or destroyed when no longer valid for use. As a Program Member Card holder, You are responsible for keeping Your Member Card secure. We will not be responsible for any lost or unauthorised use of the Member Card.
4. Our Program application form forms part of these Terms and Conditions.

Participation in the Program
5. Businesses and their representatives only may participate in the Program. Any representative of a business must be over 18.
6. By signing the Program application form, You authorise Us to collect and redeem the Q-wings You have earned subject to these Terms and Conditions.
7. We reserve the right to withdraw any Rewards or other offers from the Program at any time.

Collection and Redemption of Q-wings
8. The Member Card may be used to collect Q-wings from Us when You make a purchase from Us. In order to do so, the Member Card details must be presented at the beginning of any transaction before the bill/receipt is created.
9. Where You fail to provide Your Member Card details at the beginning of a transaction We may refuse to redeem or issue Q-wings on that occasion or may issue You with those Q-wings at a later date.
10. For every £1 (one pound) spent and paid in full (excluding VAT or any other applicable tax), You will have earned 1 (one) Q-wing and once You have collected sufficient Q-wings, You will be entitled to redeem those Q-wings against Rewards from Our Catalogue.
11. Q-wings may not be issued/redeemed in conjunction with any other promotional offer at Our sole and absolute discretion.
12. Q-wings collected are credited to Your Member Account overnight. You will not be able to redeem Q-wings on the same day that those Q-wings were collected.
13. At times, You may not be able to redeem or collect Q-wings for reasons such as planned maintenance of Our system or the terminal. We will endeavor to post details of any such reasons on the website and/or inform You of this prior to completing the transaction.
14. Where You obtain a refund, cancel or reverse a transaction for the purchase of Goods where You collected Q-wings, We shall be entitled to deduct the number of Q-wings allocated for that transaction from Your Q-wing balance.
15. If We fail to issue Q-wings at the time they are earned, We may issue them at a later date if You can demonstrate that they were validly earned and that We failed to properly issue the Q-wings.
16. We will correct Your account if it is shown to Our reasonable satisfaction to be wrong but Our decision in this regard is final.
17. Rewards can be selected from Our Catalogue which is available online or as a printed Catalogue. Please allow a minimum of 7 weeks for delivery.
18. In the unlikely event that You have purchased Goods from Us that are subject to a return policy, and You return those Goods having already received a Reward using Q-wings from Your purchase of the said Goods, We may invoice You for the value of the Reward at our absolute discretion. This does not affect Your statutory rights.

Q-wings
19. Q-wings will remain valid until either redeemed, or the closure of the Program.
20. Q-wings have a face cash value of 0.0001 pence.
21. Q-wings may not be traded or sold.
22. Q-wings are not transferable to a Program Member who has a separate business. Individual Program Members working in the same business may transfer Q-wings.
23. Once Your application form has been received and approved, You will automatically receive operational communications from Us. These will include regular statement mailings providing You with Scheme updates, confirmation of Your Q-wings balance, and a Member Card and Rewards Catalogue giving further information about the Scheme. Please allow up to 30 days after the receipt of this application for the Member Card and Catalogue to arrive.
24. We reserve the right to refuse to award or redeem Q-wings, or to terminate Your right to collect and redeem Q-wings for any breach of these Terms and Conditions or failure by You to pay for Goods.
25. You may redeem some or all of Your Q-wings for Rewards which may be offered by Us from time to time. All Rewards are subject to availability. All Rewards are subject to all applicable legal rules and Terms and Conditions.

Termination
26. Q-wings will remain valid until either redeemed, or the closure of the Program.
27. We reserve the right to withdraw or cancel any individual Member Account at any time upon giving You notice.
28. If you pledge or charge any Goods or Rewards which remain Our property, cease or threaten to cease carrying on business, propose to compound with Your creditors, apply for an interim order under s.252 of the Insolvency Act 1986, have a bankruptcy petition presented against You, enter into a voluntary or compulsory liquidation, have a receiver, administrator or administrative receiver appointed over all or any of Your assets or suffer or take any similar action then We shall withdraw Your Member Account immediately at Our absolute discretion and terminate this contract.

Defective Rewards
29. We will at Our option either repair and/or replace free of charge any defective Rewards where the defect has occurred whilst the Rewards were under Our control and where the defect is apparent on inspection, provided that the defect is notified to us within 7 days of delivery of the Rewards.
30. Any defective Rewards must where reasonable be returned to Us for inspection if requested by Us before We will have any liability for defective Rewards. If the Rewards shall prove to be defective then We shall reimburse You for the cost of returning them.
31. We shall have no liability for defective Rewards where the defect has been caused or contributed to by You to the extent so contributed.
32. We will assign to You the benefit of any manufacturers guarantee or warranty that may be attached to the Rewards to the fullest extent possible.
33. Subject to clauses 30 and 31 above, Rewards cannot be returned to us.

Indemnity
34. You agree to indemnify and keep us indemnified against any and all losses, proceedings, lost profits, damages, rewards, expenses, costs (including increased administration costs and legal costs on a full indemnity basis), claims, actions and any other losses and/or liabilities suffered by us and arising from or due to any breach of these Terms and Conditions or any tortious act and/or omission by You.

General
35. No waiver by Us for any breach of these Terms and Conditions shall be considered as a waiver of any subsequent breach of the same provision or any other provisions.
36. If any provision of these Terms and Conditions are held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the provisions of these Terms and Conditions and the remainder of the affected provisions shall be unaffected and remain in full force and effect.
37. We shall have no liability to You for any delay in the performance of the Terms and Conditions in this contract to the extent that such delays due to any event outside Our reasonable control, including but not limited to acts of God, war, flood, fire, labour disputes, sub-contractor delays, strikes, lock-outs, riots, civil commotion, malicious damage, explosion, governmental actions and any similar events. If We are affected by any such event then time for performance shall be extended for a period equal to the period that such event or events delayed such performance.
38. All third party rights excluded and no third party shall have a right to enforce these Terms and Conditions. This shall not apply to members of Our group from time to time who shall, subject to Our consent, have the right to enforce this contract as if they were Us.
39. We reserve the right to cancel, amend or withdraw the Program at any time.
40. These Terms and Conditions are governed by and interpreted in accordance with English law and the parties agree to submit to the exclusive jurisdiction of the English courts.
